RENTAL AGREEMENT

This Rental Agreement (“Agreement”) sets forth the general terms and conditions that apply to all rental orders placed with Kindred Rentals Co. LLC (“Company”). Each rental booking is confirmed through a separate order, invoice, proposal, or checkout summary (the “Order”), which includes specific details such as event date, event location, rental items, pricing, delivery selections, and service instructions. In the event of any conflict between this Agreement and an applicable Order, the terms of the Order shall govern.

This Agreement is entered into as of the date this Agreement is accepted and the required deposit or payment is received (the “Effective Date”), by and between Kindred Rentals Co. LLC, a Colorado limited liability company (“Company”), and the individual or entity completing the rental order (“Renter”).

By submitting payment for any rental order, the Renter acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.

1. DEFINITIONS & RENTAL PERIOD

1.1. Rental Items  

“Rental Items” includes all furniture, décor, tablescapes, tabletop items, linens, equipment, displays, accessories, and other items rented from the Company.

1.2. Rental Period  

The Rental Period begins at the time the Rental Items are delivered to the event location or picked up by the Renter and ends when all Rental Items are returned to and accepted by the Company.

Unless otherwise stated in writing, all Rental Items are rented for a standard seventy-two (72) hour rental period. Any extension must be approved in writing by the Company.

1.3. Transfer of Responsibility  

Responsibility for all Rental Items transfers to the Renter upon delivery or pickup and remains with the Renter until the Company has completed inspection of the returned Rental Items and confirmed their condition.

2. PAYMENT TERMS & CANCELLATION POLICY

2.1. Payment Schedule

• A non-refundable deposit equal to thirty percent (30%) of the total rental fee is due at the time of booking to reserve Rental Items.

• The remaining balance is due no later than thirty (30) days prior to the event date.

• For bookings made within thirty (30) days of the event date, full payment is due at the time of booking.

• Late Payments: Any payment not received by its due date is considered late. The Company reserves the right to charge the payment method on file for any outstanding balances, including overdue rental fees. Orders with unpaid balances may be paused, modified, or canceled at the Company’s discretion until payment is received in full.

2.2. Cancellation Policy

• More than ninety (90) days prior to the event date: 100% refund of rental fees paid.

• Between ninety (90) and thirty (30) days prior to the event date: 50% refund of total rental fees paid.

• Within thirty (30) days of the event date: Rental fees are non-refundable. Delivery fees, if applicable, will be refunded.

2.3. Non-Payment  

Failure to remit payment by the required due date may result in cancellation of the order without refund and release of reserved inventory.

2.4. Authorization for Additional Charges  

The Renter authorizes the Company to charge the payment method on file for any additional fees incurred under this Agreement, including but not limited to damage, loss, theft, excessive cleaning, late returns, replacement costs, or additional labor charges. The Company will provide notice of any such charges prior to processing payment.

If the payment method on file is declined or otherwise unable to process payment, the Renter remains responsible for all outstanding balances. Any unpaid balance must be paid in full within fourteen (14) days following the event date. Failure to remit payment within fourteen (14) days may result in cancellation of services and forfeiture of all deposits and payments previously made, without refund.

3. SECURITY DEPOSIT

3.1. The Company reserves the right to require a refundable security deposit to cover loss, damage, excessive cleaning, or late return of Rental Items.

3.2. Any applicable deposit amount and terms will be disclosed separately and may be deducted from in whole or in part at the Company’s discretion.

4. CONDITION OF RENTAL ITEMS

4.1. All Rental Items are provided on an “as-is” basis.

4.2. The Company makes no warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

4.3. Minor wear consistent with normal rental use is expected and accepted. The Renter acknowledges that rental items may show signs of prior use.

5. CARE, USE & RESTRICTIONS

5.1. The Renter agrees to exercise reasonable care in the use, handling, transportation, and storage of all Rental Items.

5.2. Prohibited Actions  

Rental Items may not be:

• Altered, modified, painted, drilled, stapled, nailed, taped, glued, or otherwise permanently or temporarily changed

• Used for any unlawful, unsafe, or improper purpose

• Exposed to rain, snow, excessive heat, open flame, candle wax, fireworks, or inclement weather without prior written approval

5.3. Outdoor Use  

Rental Items used outdoors must be adequately protected from environmental exposure at all times. The Company is not responsible for damage, delays, or loss caused by weather conditions or environmental factors when Rental Items are used outdoors. The Renter assumes all risks associated with outdoor use, including but not limited to wind, rain, heat, humidity, uneven terrain, and ground conditions.

5.4. Third-Party Responsibility  

The Renter is fully responsible for all Rental Items used by guests, vendors, planners, venues, venue staff, caterers, or any other third parties.

6. CLEANING, DAMAGE, LOSS & THEFT

6.1. Rental Items must be returned free of food residue, wax, grease, florals, adhesive, tape, glitter, stains, or debris.

6.2. Excessive cleaning will result in cleaning fees ranging from $50 to $300 or more depending on severity and labor required.

6.3. Loss, theft, or damage exceeding normal wear — including but not limited to breakage, staining, warping, burns, missing items, or structural damage — will be charged at repair or full replacement cost, as determined by the Company.

6.4. Damage or loss exceeding one percent (1%) of the rented quantity may result in additional charges.

6.5. Post-Event Inspection  

All Rental Items are subject to inspection by the Company upon return. The Company reserves the right to assess damage, loss, missing items, or excessive cleaning after pickup or return. The Renter will be notified of any findings and applicable charges within a reasonable timeframe following inspection.

7. DELIVERY, SETUP & PICKUP

7.1. Delivery Options

• Local Delivery & Pickup: Includes delivery and pickup to the event location within reasonable proximity to accessible unloading areas. Placement of Rental Items will be determined at the Company’s discretion in coordination with the venue or planner to ensure safe and appropriate setup conditions. This service does not include stairs, elevators, setup, breakdown, unpacking, or packing unless otherwise specified in writing.

• Local Delivery & Pickup with Setup & Breakdown: Includes delivery, placement, setup, breakdown, and pickup of approved Rental Items. Placement will be determined by the Company in coordination with the venue or planner to ensure safe and appropriate setup conditions. This service does not include stairs or elevators unless expressly agreed upon in writing prior to the event.

7.2. Certain items, including but not limited to champagne walls, dance floors, arches, shelving installations, or large display structures, require Company-provided setup and may not be self-installed.

7.3. Customer Pickup  

Renter must arrive within the scheduled pickup window with a vehicle of appropriate size and with all necessary securing equipment. The Company is not responsible for damage to the Renter’s vehicle during loading or transport.

7.4. Additional Labor Fees  

Any labor required beyond the services expressly included in the Order shall be billed at a rate of fifty dollars ($50) per hour, per staff member, billed in fifteen (15) minute increments.

7.5. Venue Access & Requirements  

The Renter is responsible for ensuring that the venue is accessible for delivery, setup, and pickup, including obtaining any necessary permissions and confirming adequate space, timing, loading access, and setup conditions. The Company shall not be responsible for delays, additional labor, or inability to complete services due to venue restrictions, inaccessible locations, or unsafe conditions.

8. LATE RETURNS

8.1. All Rental Items must be returned on the agreed-upon return date and time.

8.2. Late returns will incur a fee equal to one hundred percent (100%) of the daily rental rate per day, up to the full replacement cost of the Rental Items.

8.3. Failure to return Rental Items within a reasonable period following the agreed return date may, at the Company’s discretion, be treated as loss or theft and charged at full replacement cost.

9. NO ORAL MODIFICATIONS

No oral statements, representations, or verbal agreements shall modify or amend this Agreement unless confirmed in writing by the Company.

10. LIABILITY, ASSUMPTION OF RISK & INDEMNIFICATION

10.1. The Renter assumes all risks associated with possession, transportation, storage, setup, and use of Rental Items.

10.2. The Company shall not be liable for any injuries, accidents, damages, losses, or claims arising from the use, misuse, handling, transportation, or condition of Rental Items.

10.3. Indemnification  

The Renter agrees to indemnify, defend, and hold harmless Kindred Rentals Co. LLC, its owners, employees, contractors, and agents from and against any claims, damages, losses, liabilities, legal actions, judgments, costs, or attorneys’ fees arising out of or related to the Rental Items, the event, or this Agreement.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company’s total liability under this Agreement shall not exceed the total amount paid by the Renter under the applicable Order.

12. FORCE MAJEURE

The Company shall not be liable for any delay, interruption, or failure to perform due to events beyond its reasonable control, including but not limited to acts of God, severe weather, fire, flood, natural disasters, labor disputes, transportation delays, vehicle breakdowns, government action, utility failures, illness, pandemics, venue restrictions, or other unforeseen circumstances.

13. SUBSTITUTIONS

The Company reserves the right to substitute comparable Rental Items if specific items become unavailable due to damage, loss, prior return issues, or circumstances beyond the Company’s control. The Renter will be notified of any substitutions when reasonably possible.

14. MARKETING & PHOTOGRAPHY

Unless otherwise requested in writing by the Renter, the Company may photograph Rental Items after set-up and use such photographs for marketing, portfolio, website, social media, and promotional purposes.

15. GOVERNING LAW & DISPUTE RESOLUTION

15.1. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Colorado.

15.2. The parties waive the right to a jury trial in any legal proceeding arising out of or relating to this Agreement.

16. ATTORNEYS’ FEES

In the event of any dispute arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.

17. ENTIRE AGREEMENT

This Agreement, together with any applicable Order, invoice, proposal, checkout summary, or written addenda, constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements.

17.1. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.2. Electronic signatures, online acceptance, and acceptance by payment shall be deemed valid and binding for all purposes.

ACCEPTANCE

By submitting payment, the Renter acknowledges acceptance of all terms and conditions set forth in this Agreement.

EXHIBIT A – DAMAGE, LOSS & CLEANING PRICING SCHEDULE

Kindred Rentals Co. LLC

This Damage, Loss & Cleaning Pricing Schedule applies to all rental items and is incorporated into the Rental Agreement. The amounts listed below represent standard estimates and are intended to provide reasonable guidance regarding potential charges. Final charges may vary based on the condition of the item, severity of the issue, labor and time required, cleaning methods required, professional cleaning costs, replacement availability, and the actual cost incurred by Kindred Rentals Co. LLC.

Kindred Rentals takes great care in sourcing, cleaning, maintaining, and preparing its collection for each event. Rental items are expected to be returned in substantially the same clean and usable condition in which they were provided, ordinary wear and normal post-event cleaning excepted.

1. General Responsibility

Clients are responsible for all damage, loss, theft, excessive cleaning, and unauthorized use of rental items occurring during the rental period.

Responsibility applies regardless of whether the issue was caused by the client, guests, vendors, venue staff, weather, outdoor conditions, or other third parties.

Items returned with excessive dirt, stains, debris, residue, damage, or other conditions requiring cleaning beyond Kindred Rentals’ standard post-event cleaning may be subject to additional cleaning charges.

Items that require additional cleaning before they can be returned to Kindred Rentals’ available inventory may incur an excessive cleaning fee.

Each item will be assessed individually. Two items of the same type may receive different charges when the amount of labor, cleaning, treatment, or equipment required differs.

Items deemed unrepairable or unsuitable for continued rental use may be charged at full replacement cost, including reasonable sourcing, shipping, and labor costs.

All pricing is listed per item unless otherwise noted.

2. Standard Cleaning

Standard post-event cleaning is included in the rental price.

Standard cleaning includes ordinary dusting, wiping, vacuuming, and routine preparation required after normal event use.

Standard cleaning does not include excessive dirt, heavy soil, stains, spills, wax, adhesives, glitter, mud, grass, food residue, makeup, grease, pet hair, outdoor debris, or other conditions requiring additional treatment, specialized equipment, professional cleaning or laundering, or significant additional labor.

3. Excessive Cleaning Fees

Additional cleaning fees may apply when an item requires cleaning beyond normal post-event preparation.

Moderate Cleaning: $50–$75 per item

Examples include:

Dirt or surface soil requiring additional treatment

Makeup

Drink spills

Food residue

Light-to-moderate stains

Grass or outdoor debris

Additional scrubbing or spot treatment

Additional vacuuming or extraction cleaning

Heavy or Labor-Intensive Cleaning: $100–$200 per item

Examples include:

Heavy or widespread dirt/soil

Extensive staining

Grease

Candle wax buildup

Floral residue

Adhesive residue

Multiple rounds of cleaning or extraction

Cleaning requiring significant additional labor

Cleaning requiring specialized equipment or multiple treatment methods

Final charges may be adjusted within or outside these standard ranges when the actual labor, professional cleaning, equipment, transportation, or other reasonable costs required to restore the item warrant a different charge.

Specialized Cleaning

When an item requires professional cleaning, commercial laundering, laundromat services, pressure washing, specialized equipment, or another cleaning process not ordinarily used during standard post-event cleaning, the client may be charged for the reasonable cost of the service and/or a cleaning fee based on the time, labor, and resources required.

4. Upholstered Furniture & Chairs

Furniture and upholstered rental pieces require special care.

Additional cleaning charges may apply for:

Dirt or soil on upholstery

Makeup

Food or drink residue

Grass or outdoor debris

Stains

Scuffs or surface marks

Excessive dust or debris

Pet hair

Mud or moisture

Any condition requiring carpet/upholstery extraction, spot treatment, scrubbing, or specialized cleaning

Standard Furniture Cleaning

Routine vacuuming and wiping are included in standard cleaning.

Additional Furniture Cleaning: $50–$75 per item

For moderate cleaning requiring significant vacuuming, treatment, scrubbing, spot cleaning, or one additional extraction/carpet-cleaning treatment.

Labor-Intensive Furniture Cleaning: $75–$150 per item

For items requiring substantial additional labor, multiple cleaning treatments, multiple extraction passes, specialized cleaning products, or other significant restoration efforts.

Furniture Damage

Surface scratches, chips, scuffs, or paint transfer: $50–$200

Structural damage: 50–100% of replacement cost

Broken legs, frames, or joints: Full replacement cost

Missing hardware: $50–$100

Permanent or irreversible damage: Assessment up to full replacement cost

5. Rugs & Large Fabric Items

Rugs and other large fabric items require specialized cleaning and handling.

Additional charges may apply for:

Dirt or soil throughout the item

Mud

Grass

Food or drink spills

Stains

Outdoor debris

Pet hair

Excessive dust or debris

Any condition requiring pressure washing, commercial laundering, machine washing, extraction, or specialized treatment

Rug & Large Fabric Cleaning: $50–$150 per item

*Charges are based on the condition of the item and the actual cleaning process required.

Additional reasonable costs may include:

Professional cleaning

Laundromat/commercial laundering

Pressure washing

Specialized cleaning equipment

Necessary cleaning products

Time & labor required to obtain cleaning services

If a rug or fabric item cannot be restored to a rentable condition through reasonable cleaning, replacement cost may apply.

6. Linens & Fabric Items

Stains removable with professional laundering: $50–$100

Wax damage: $50–$100

Heavy or excessive soil requiring special laundering: $50–$150

Burn holes or scorch marks: Full replacement cost

Irreversible stains, including wine, oil, or permanent makeup: Full replacement cost

Permanent damage affecting appearance or usability: Replacement cost

7. Tabletop & Tablescape Items

Replacement pricing for lost or damaged items:

Dinner or salad plates: $25–$60 each

Charger plates: $40–$120 each

Glassware: $15–$35 each

Flatware: $10–$20 each

Additional cleaning charges may apply for excessive food residue, grease, wax, adhesives, or other substances requiring cleaning beyond standard preparation.

8. Décor & Display Items

For arches, champagne walls, shelving, signage, displays, and similar décor:

Cosmetic damage, scratches, or scuffs: $75–$200

Excessive dirt or cleaning: $50–$150

Broken panels, shelves, or backing: $250–$600

Structural damage or tipping: Full replacement cost

Unauthorized use resulting in damage: Full replacement cost

9. Wax, Candles, Fire & Heat Damage

Wax requiring additional cleaning: $75–$200

Burn marks or heat warping: Full replacement cost

Burn holes or scorch marks: Full replacement cost

Use of open flame without prior written approval: Damage assessment will apply

10. Glitter, Adhesives & Difficult-to-Remove Materials

Because glitter and certain adhesives can require significant additional labor and may affect future rentals:

Glitter: Minimum $200 per item

Glue or adhesive residue: $100–$200 per item

Other difficult-to-remove materials: $75–$200 per item, depending on labor and cleaning required

11. Outdoor Use & Weather Exposure

Unless specifically approved in writing, rental items are intended for appropriate protected use. Clients may request a tarp provided by Kindred Rentals Co. if rain is anticipated on the day of their event. 

Unauthorized outdoor use or exposure to:

Mud

Dirt

Rain

Moisture

Excessive dust

*May result in additional cleaning, repair, or replacement charges depending on the condition of the item upon return.

12. Loss & Theft

Missing items: Full replacement cost

Partial sets returned: Replacement cost of missing pieces

Theft, whether reported or unreported: Full replacement cost

Items not returned: Full replacement cost

Replacement cost may include reasonable sourcing, shipping, taxes, and labor required to obtain a comparable replacement.

13. Late Returns

Late return: 100% of the applicable daily rental rate per day, unless otherwise agreed to in writing.

If a late return causes Kindred Rentals to be unable to fulfill another confirmed rental, additional costs or losses may apply as permitted by the Rental Agreement and applicable law.

14. Cleaning Labor & Documentation

When additional cleaning is required, Kindred Rentals may consider:

Time spent cleaning

Number of cleaning treatments required

Number of extraction or machine-cleaning passes

Cleaning products used

Specialized equipment required

Professional cleaning or laundering costs

Transportation required for cleaning

Whether the item was unable to be returned to available rental inventory until cleaning was completed

Kindred Rentals may document the condition of returned items through photographs and written cleaning records.

Photographs may be provided to the client upon request.

15. Final Determination

All damage and cleaning assessments will be made reasonably and in accordance with the condition of the item, the applicable pricing ranges above, and the actual work or expense required to restore the item.

Charges may differ between individual items based on the actual condition and amount of work required, even when the items are the same type.

Where applicable, Kindred Rentals will provide reasonable documentation of the condition and cleaning required.

The purpose of these charges is to recover reasonable costs associated with restoring rental items to a clean, safe, and rentable condition and is not intended to constitute a penalty.
